Terms of Service

1.1 Agreement Overview

Welcome to Dhundo. These Terms of Service ("Terms," "Agreement," "Terms of Use," "Terms and Conditions") constitute a legally binding agreement between you ("User," "you," "your," "Customer," "Member," "Subscriber") and Dhundo, Inc. ("Dhundo," "Company," "we," "our," "us"), with its principal place of business at Plot No.24 -B Street No.6, Sector H-9/1, Islamabad, Pakistan.

This Agreement governs your access to and use of the Dhundo website located at dhundo.store, our mobile applications available on iOS and Android platforms, our browser extensions, our application programming interfaces (APIs), and all related services, features, content, tools, and functionality (collectively, the "Platform" or "Services").

1.2 Binding Legal Agreement

By accessing, browsing, registering for, or using our Platform in any manner whatsoever, you acknowledge, represent, and warrant that:

• You have carefully read and fully understood all provisions of these Terms
• You voluntarily and knowingly agree to be legally bound by these Terms in their entirety
• You agree to comply with our Privacy Policy, which is incorporated herein by reference
• You agree to comply with any additional terms, guidelines, policies, or rules that may be posted on the Platform from time to time
• You have the legal capacity and authority to enter into this binding agreement

These Terms apply to all users of the Platform without exception, including but not limited to users who are casual browsers, visitors, registered members, paying subscribers, vendors, merchants, affiliates, and contributors of content.

1.3 Methods of Acceptance

You indicate your unequivocal acceptance of these Terms by:

• Clicking "I Agree," "Accept," "Sign Up," "Create Account," "Continue," or any similar acceptance mechanism when presented with these Terms during registration or use
• Creating an account, registering for our Services, or completing any registration process
• Accessing, browsing, or using any part of the Platform after these Terms have been posted or updated
• Making any purchase, subscription, or payment through the Platform
• Submitting any content, data, or information through the Platform
• Continuing to use the Platform after any modifications to these Terms have been made and communicated

1.4 Rejection of Terms

If you do not agree to all of the terms, conditions, obligations, and restrictions contained in this Agreement, you are expressly prohibited from and must immediately:

• Cease all access to and use of the Platform
• Refrain from creating any account or registering for any services
• Delete any applications or software associated with the Platform from your devices
• Discontinue any use of our trademarks, logos, or branding materials

Your sole and exclusive remedy for dissatisfaction with the Platform, any of its content, features, policies, or practices is to discontinue your use of the Platform immediately. Unauthorized use of the Platform may give rise to a claim for damages and/or constitute a criminal offense under applicable laws.

1.5 Electronic Communications Consent

By using the Platform or providing your email address, phone number, or other contact information to us, you expressly consent to receive communications from us electronically. You acknowledge and agree that:

• All agreements, notices, disclosures, billing statements, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing
• Electronic notices are deemed to be given and received on the date we transmit such communication to the email address associated with your account
• You are responsible for maintaining a valid email address and checking it regularly for communications from us
• We may communicate with you via email, push notifications, SMS text messages (standard rates may apply), in-app notifications, or notices posted on the Platform
• You may withdraw your consent to receive certain electronic communications by adjusting your notification preferences in your account settings, though some essential service communications cannot be opted out of

1.6 Modifications to Terms

Dhundo reserves the absolute right to modify, amend, supplement, restate, or replace these Terms at any time and from time to time, at our sole and absolute discretion, without any obligation to obtain your prior consent. Modifications may be made for various reasons, including but not limited to:

• Reflecting changes in applicable laws, regulations, or legal requirements
• Addressing changes to our services, features, or business operations
• Responding to security or privacy concerns
• Clarifying ambiguous or unclear provisions
• Improving user experience and Platform functionality
• Addressing feedback from users or regulatory bodies

When we make changes, we will update the "Last Updated" date at the top of these Terms. For material changes that significantly affect your rights or obligations, we will provide you with notice through one or more of the following methods: a prominent notice on the Platform, an email to the address associated with your account, an in-app notification, or a pop-up requiring acknowledgment upon your next login.

Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page periodically so you are aware of any changes, as they are binding on you. If you do not agree to the modified Terms, you must stop using the Platform immediately.

2.1 Minimum Age Requirements

To access or use the Platform, you must be at least sixteen (16) years of age. In jurisdictions where the age of majority is higher than 16, you must be at least the age of majority in your jurisdiction to enter into this Agreement independently.

If you are between the ages of 16 and the age of majority in your jurisdiction (which is 18 in most jurisdictions, including the United States), you may only use the Platform under the direct supervision of a parent or legal guardian who:

• Has reviewed and agrees to be bound by these Terms on your behalf
• Accepts full responsibility for your compliance with these Terms
• Accepts full responsibility for any charges, damages, or liabilities incurred through your use of the Platform
• Consents to the collection and processing of your personal data as described in our Privacy Policy

By using the Platform, you represent and warrant that you meet all applicable age requirements. If we learn or have reason to believe that we have collected personal information from a user under the applicable minimum age without proper parental consent, we will take immediate steps to delete that information and terminate the associated account as quickly as possible.

2.2 Legal Capacity and Authority

By accessing or using the Platform, you represent, warrant, and covenant that:

• You have the full legal capacity, right, power, and authority to enter into a binding contract with Dhundo
• You are not legally incapacitated or otherwise unable to form binding contracts under applicable law
• You are not barred, restricted, or prohibited from using the Platform under any applicable laws, regulations, or court orders in your jurisdiction
• You have not been previously suspended, removed, banned, or otherwise prohibited from using the Platform by Dhundo
• You do not have more than one active account on the Platform (unless expressly authorized by Dhundo in writing)
• Your use of the Platform will not violate any applicable local, state, provincial, national, or international law, statute, ordinance, rule, or regulation
• You are not located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or services, or that has been designated by the U.S. Government as a "terrorist supporting" country
• You are not listed on any U.S. Government list of prohibited or restricted parties, including the Specially Designated Nationals List maintained by the Office of Foreign Assets Control (OFAC)

2.3 Business and Organizational Users

If you are using the Platform on behalf of a company, corporation, partnership, limited liability company, organization, government agency, educational institution, or any other legal entity ("Organization"), you additionally represent and warrant that:

• You are duly authorized by the Organization to accept these Terms on its behalf
• You have the authority to bind the Organization, its affiliates, subsidiaries, and all users who access the Platform through the Organization's account to these Terms
• The Organization agrees to be responsible for all activities conducted through its account
• The Organization will ensure that all individuals who access the Platform through its account comply with these Terms

In such cases, the terms "you" and "your" shall refer to both you as an individual and to such Organization collectively. You agree that you are personally responsible for any actions taken by any individual accessing the Platform through your Organization's account, whether or not such actions were authorized by you or the Organization.

2.4 Account Registration Requirements

To access certain features and functionality of the Platform, including but not limited to the Dhundo Strategist AI, search history, personalized recommendations, and subscription services, you are required to register for an account. When registering for an account, you agree to:

• Provide accurate, truthful, current, and complete information as prompted by the registration form ("Registration Data"), including your full legal name, valid email address, and any other required information
• Maintain and promptly update the Registration Data to keep it accurate, current, and complete at all times
• Provide a valid email address that you own, have access to, and regularly monitor
• Create a unique, strong password that you do not use for any other online accounts or services
• Not create an account using a false identity, misleading information, or the identity of another person without their authorization
• Not create an account on behalf of someone other than yourself without proper written authorization from that person
• Not create multiple accounts for the purpose of abusing promotions, circumventing account restrictions, evading bans, manipulating ratings or reviews, or any other unauthorized or fraudulent purpose
• Not use a username that is offensive, vulgar, obscene, infringes on third-party rights, or violates any applicable laws

2.5 Account Verification Procedures

Dhundo reserves the right to verify your identity and the information you provide at any time, for any reason, and without prior notice. Verification procedures may include, but are not limited to:

• Requiring you to confirm your email address by clicking a verification link
• Requiring you to verify your phone number via SMS or voice call
• Requesting additional documentation to verify your identity (such as government-issued ID)
• Conducting identity verification through reputable third-party verification services
• Asking security questions or requiring additional authentication factors
• Reviewing your account activity for suspicious patterns or behaviors

Failure to provide requested verification information within a reasonable timeframe, or providing false or misleading verification information, may result in the immediate suspension or permanent termination of your account, forfeiture of any prepaid fees, and potential legal action. We may also use verification processes to prevent fraud, unauthorized access, account abuse, and other security concerns.

2.6 Registration Denial and Account Rejection

Dhundo reserves the absolute right, at our sole discretion, to refuse registration, reject any application for an account, or cancel an existing account at any time, for any reason or for no reason, with or without prior notice, and without any liability to you. This includes, but is not limited to, situations where:

• We believe registration information is inaccurate, false, fraudulent, incomplete, or misleading
• We suspect that the account may be used for unlawful purposes, in violation of these Terms, or in a manner harmful to Dhundo or third parties
• The applicant has previously violated these Terms or been banned from the Platform
• We are unable to verify the applicant's identity or eligibility
• Accepting the registration would violate applicable laws, regulations, or sanctions
• We determine, in our sole discretion, that the registration poses a security risk to the Platform or other users

3.1 Platform Overview and Purpose

Dhundo is a comprehensive search aggregation, price comparison, and e-commerce intelligence platform that leverages advanced technology, including proprietary artificial intelligence (AI) and machine learning (ML) algorithms, to help users discover products, compare prices across multiple online retailers, analyze market trends, and make informed purchasing decisions.

Our Platform serves as an intermediary service that aggregates, organizes, and presents product information from various third-party sources to enhance and streamline your online shopping experience. Dhundo is designed to save you time, help you find better deals, and provide intelligent insights to support smarter purchasing decisions.

3.2 Core Features and Functionality

Subject to your compliance with these Terms and any applicable subscription requirements, the Platform provides users with access to the following features and functionality:

While we strive to provide accurate, reliable, comprehensive, and up-to-date information, you expressly acknowledge, understand, and agree that:

• Product information, including but not limited to prices, availability, descriptions, images, specifications, reviews, and ratings, is provided by third-party retailers and data sources, and may not always be accurate, complete, current, or error-free
• Prices displayed on our Platform are subject to change at any time and may differ from actual prices at the time of purchase due to dynamic pricing, flash sales, limited-time promotions, regional variations, currency fluctuations, or other factors beyond our control
• Product availability shown on our Platform is subject to change and may not reflect real-time inventory levels at third-party retailers
• Search results are generated algorithmically based on various factors and may not include all available products, all retailers, or all possible matches for your query
• The Dhundo Strategist and other AI-powered features provide recommendations based on available data, historical patterns, and algorithmic analysis, which are intended for informational and educational purposes only and should not be construed as financial, investment, legal, or professional advice of any kind
• We do not guarantee any specific outcomes, savings, results, or benefits from using our Services
• Third-party product reviews, ratings, and user-generated content displayed on the Platform may not be accurate, unbiased, or representative
• Images, descriptions, and specifications of products are provided by third parties and may not accurately represent the actual product

3.4 Service Availability and Uptime

We endeavor to provide reliable, consistent, and continuous access to the Platform. However, you acknowledge and agree that:

• The Platform may be unavailable from time to time due to scheduled maintenance, software updates, system upgrades, or infrastructure improvements
• The Platform may experience unscheduled downtime due to technical failures, software bugs, hardware malfunctions, security incidents, cyberattacks, or circumstances beyond our reasonable control
• Access to the Platform may be interrupted, suspended, limited, or restricted in certain geographic regions due to legal requirements, licensing restrictions, or business decisions
• Certain features, functionality, or content may be modified, limited, throttled, or discontinued without prior notice
• Response times, loading speeds, and overall performance may vary based on your internet connectivity, device capabilities, server load, geographic location, and other technical factors
• We do not provide any service level agreements (SLAs) or uptime guarantees unless expressly stated in a separate written agreement

We will make reasonable efforts to notify users of scheduled maintenance windows in advance when possible, but we reserve the right to perform emergency maintenance or updates without prior notice when necessary to protect the security, integrity, or functionality of the Platform.

3.5 Third-Party Transactions and Relationships

IMPORTANT: Dhundo is not a retailer, seller, reseller, merchant, distributor, or vendor of any products. We do not manufacture, stock, warehouse, ship, sell, or directly sell any products to users. We operate solely as an information aggregation and comparison service.

When you click on a product link, affiliate link, or are redirected to a third-party retailer's website through our Platform:

• You are leaving the Dhundo Platform and entering into a direct relationship with that third-party retailer
• Any transaction, purchase, order, or agreement you enter into is solely between you and the third-party retailer
• All aspects of the transaction, including but not limited to product selection, pricing, payment processing, order fulfillment, shipping, delivery, returns, refunds, exchanges, warranties, customer service, and dispute resolution, are handled exclusively by the third-party retailer
• You agree to be bound by the third party's terms of service, privacy policy, return policy, and all other applicable policies and agreements
• Dhundo is not a party to any such transaction and has no obligation, responsibility, or liability with respect to it
• Any disputes, claims, or issues arising from such transactions must be resolved directly with the third-party retailer

3.6 Service Modifications and Changes

Dhundo reserves the absolute right, at any time and from time to time, without prior notice, consent, or liability, to:

• Modify, update, upgrade, improve, or discontinue any or all features, functionality, content, or services of the Platform
• Change the technical specifications, requirements, protocols, or standards for accessing the Platform
• Modify the user interface, design, layout, navigation, or user experience
• Change, retrain, or update the algorithms, AI models, machine learning systems, or processes used to power the Platform
• Add, remove, or modify supported browsers, devices, operating systems, or platforms
• Modify the geographic regions or territories in which the Platform or specific features are available
• Impose, modify, or remove usage limits, rate limits, quotas, or restrictions on use of the Platform
• Add, remove, or change supported retailers, data sources, or integration partners
• Discontinue the Platform or any portion thereof entirely, temporarily or permanently

We shall not be liable to you or any third party for any modification, suspension, discontinuation, or termination of the Platform or any part thereof, regardless of the reason for such change.

4.1 Account Credentials

Upon successful registration, you will create login credentials consisting of a unique identifier (typically your email address or username) and a password. These credentials are the keys to your account and all associated data, history, and subscription benefits. You are solely and exclusively responsible for:

• Maintaining the strict confidentiality and security of your account credentials at all times
• Choosing a strong, unique password that meets our security requirements (minimum 8 characters, including at least one uppercase letter, one lowercase letter, one number, and one special character recommended)
• Not using the same password that you use for any other website, application, or service
• Not sharing, disclosing, lending, or transferring your credentials to any other person, entity, or automated system
• Not allowing any other individual to access or use your account
• Changing your password immediately if you believe or suspect it has been compromised, disclosed, or discovered by any unauthorized party
• Logging out of your account completely when using shared, public, or untrusted devices or networks
• Not storing your password in any unsecured location or transmitting it over unsecured channels

4.2 Responsibility for Account Activity

You are solely and completely responsible for all activities, actions, and conduct that occur under or through your account, whether or not you authorized, initiated, or were aware of such activities. This comprehensive responsibility includes, but is not limited to:

• All searches, queries, browsing history, and interactions with the Platform
• All content, data, information, feedback, reviews, and communications submitted, uploaded, or transmitted through your account
• All messages, communications, and interactions sent from or received through your account
• All purchases, transactions, subscriptions, and payments initiated through your account
• All changes to account settings, preferences, profile information, or subscription plans
• Any violations of these Terms, applicable laws, or third-party rights committed through your account
• Any use of your account by family members, friends, employees, or any other individuals who gain access to your credentials
• Any damages, losses, or liabilities incurred by Dhundo, other users, or third parties as a result of activities under your account

4.3 Security Best Practices and Recommendations

To help protect your account, your personal information, and your security, we strongly recommend that you implement the following security best practices:

• Enable Two-Factor Authentication (2FA): When available, enable two-factor authentication to add an extra layer of security to your account. This requires a second verification step (such as a code sent to your email or phone) in addition to your password.
• Use a Unique Password: Create a password that you do not use for any other online service, website, or application. Password reuse significantly increases your vulnerability if any of your accounts is compromised.
• Create a Strong Password: Use a password that is at least 12-16 characters long and includes a random mix of uppercase letters, lowercase letters, numbers, and special characters. Avoid using easily guessable information such as your name, birthday, common words, dictionary words, or sequential patterns.
• Consider Using a Password Manager: Use a reputable password manager to generate, store, and manage strong, unique passwords for all your online accounts.
• Review Account Activity Regularly: Periodically review your account activity, login history, and active sessions for any unauthorized or suspicious activity.
• Secure Your Email Account: Your email account is used for password recovery and important notifications. Ensure your email account is also secured with a strong, unique password and 2FA.
• Be Cautious of Phishing: Be vigilant about phishing attempts and only access the Platform through official channels (dhundo.store or our official mobile apps). Never click on suspicious links or provide your credentials in response to unsolicited emails or messages.
• Keep Your Devices Secure: Ensure your devices have up-to-date operating systems, security patches, antivirus software, and firewalls enabled.
• Use Secure Networks: Avoid logging into your account on public Wi-Fi networks without using a VPN. Be cautious when using shared or public computers.

4.4 Notification of Security Incidents

You agree to notify us immediately at dhundo.pakistan@gmail.com if you become aware of, suspect, or have reason to believe:

• Any unauthorized access to or use of your account or credentials
• Any unauthorized access to or use of your password, API keys, or other authentication tokens
• Any other breach of security affecting your account
• Any unauthorized transactions, purchases, or activities on your account
• Loss, theft, or compromise of any device used to access your account
• Receipt of suspicious emails, messages, or communications purporting to be from Dhundo
• Discovery of any vulnerabilities or security issues with the Platform

Prompt notification enables us to take appropriate protective measures to secure your account and investigate the incident. While we will make reasonable efforts to assist you in securing your account, you remain responsible for any activities occurring under your account prior to your notification and our successful implementation of security measures.

4.5 Account Information Accuracy and Updates

You agree to provide and maintain accurate, current, complete, and truthful information in your account at all times. You must promptly update your account information if any information changes, including but not limited to:

• Your email address or phone number
• Your name or legal identity
• Your billing address or payment information
• Any other registration or profile information

Failure to maintain accurate, current account information may result in:

• Inability to access certain features, services, or your account entirely
• Failure to receive important security alerts, account notifications, or service announcements
• Billing errors, payment failures, service interruptions, or subscription lapses
• Delays in customer support responses or inability to verify your identity
• Account suspension, restriction, or termination

4.6 Limitation of Liability for Account Security

You acknowledge and agree that Dhundo shall not be responsible or liable for any loss, damage, liability, cost, expense, harm, or injury of any kind arising from or related to:

• Your failure to maintain the confidentiality and security of your account credentials
• Unauthorized access to your account resulting from your negligence, carelessness, or failure to follow security best practices
• Activities conducted through your account by any third party, regardless of whether you authorized such access
• Your failure to notify us promptly of known or suspected unauthorized access
• Any inaccurate, incomplete, outdated, or false account information you provide
• Your failure to enable available security features such as two-factor authentication
• Security breaches of your email account, devices, or third-party services that affect your Dhundo account

5.1 Permitted Use and License Grant

Subject to your strict compliance with these Terms and all applicable laws, Dhundo grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable, and terminable license to access and use the Platform solely for your personal, non-commercial purposes as intended and documented. This license is granted for the sole purpose of enabling you to use and enjoy the benefit of the Services as provided by Dhundo, in the manner expressly permitted by these Terms.

This license does not include the right to:

• Sublicense, assign, transfer, sell, or otherwise convey your rights to any third party
• Access the Platform for purposes of building a competitive product or service
• Access the Platform for purposes of benchmarking or comparative analysis intended for publication
• Use the Platform beyond the scope of the intended consumer use case

5.2 General Conduct Standards

You agree to use the Platform only for lawful purposes and in a manner that:

• Does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Platform
• Complies with all applicable local, state, national, and international laws and regulations
• Does not harm, damage, or negatively impact Dhundo, its reputation, or its business interests
• Does not harm, harass, threaten, or otherwise negatively impact other users or third parties
• Is consistent with the intended purpose and functionality of the Platform

You agree to conduct yourself in a professional, courteous, respectful, and ethical manner when using the Platform and when interacting with our services, support team, employees, and other users.

5.3 Prohibited Activities - Comprehensive List

You expressly and unconditionally agree NOT to engage in, attempt to engage in, facilitate, encourage, or assist others in engaging in any of the following prohibited activities:

A. Illegal and Harmful Activities:

• Use the Platform for any purpose that is unlawful, illegal, prohibited by these Terms, or otherwise harmful to Dhundo or third parties
• Violate any applicable local, state, provincial, national, or international law, statute, ordinance, rule, regulation, or court order
• Engage in any activity that constitutes or promotes fraud, misrepresentation, deception, or deceptive practices
• Facilitate, promote, or participate in illegal activities, including but not limited to money laundering, terrorist financing, sanctions evasion, tax evasion, or other criminal conduct
• Infringe upon or violate the intellectual property rights, copyrights, trademarks, patents, trade secrets, privacy rights, publicity rights, or other proprietary rights of any third party
• Stalk, harass, bully, threaten, intimidate, abuse, defame, or cause harm to any other person or entity
• Transmit any content that is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy, tortious, obscene, vulgar, pornographic, offensive, profane, hateful, or racially, ethnically, or otherwise objectionable
• Promote or engage in discrimination based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, age, or any other protected characteristic
• Engage in any form of human trafficking, exploitation, or abuse

B. Technical Abuse and Security Violations:

• Attempt to gain unauthorized access to any portion of the Platform, other user accounts, computer systems, servers, networks, or databases connected to or associated with the Platform
• Probe, scan, penetration test, or test the vulnerability of the Platform, its infrastructure, or any related network, system, or service without express written authorization
• Breach, bypass, circumvent, disable, or interfere with any security features, access controls, authentication measures, or technological protection measures
• Interfere with, disrupt, degrade, impair, or compromise the integrity, security, availability, or performance of the Platform, its servers, networks, or infrastructure
• Overload, flood, mailbomb, spam, denial-of-service attack, or crash the Platform or any related systems
• Transmit, upload, or distribute any viruses, worms, Trojan horses, malware, ransomware, spyware, adware, keyloggers, or any other malicious, harmful, or destructive code, files, scripts, or programs
• Use any device, software, program, script, robot, or routine that interferes with the proper functioning, operation, or performance of the Platform
• Attempt to decipher, decompile, disassemble, reverse engineer, or otherwise attempt to derive, discover, or reconstruct the source code, object code, algorithms, data structures, or underlying ideas of any software, technology, or systems comprising or powering the Platform
• Modify, adapt, translate, or create derivative works based on the Platform or any part thereof
• Remove, alter, obscure, or tamper with any copyright notices, digital watermarks, proprietary legends, or other ownership or attribution notices

C. Data Collection, Scraping, and Automation:

• Use any robot, spider, crawler, scraper, harvester, data mining tool, or other automated means, device, program, or methodology to access, index, retrieve, collect, harvest, mine, or extract data from the Platform or its content without our express written permission
• Collect, compile, harvest, mine, scrape, or gather any information, data, or content from the Platform, its databases, or its users without explicit authorization
• Use any automated scripts, bots, or programs to interact with the Platform, create accounts, submit searches, or perform any actions
• Create or compile, directly or indirectly, any collection, compilation, database, directory, or derivative dataset from Platform content without authorization
• Access or use the Platform through any technology, interface, or means other than those provided, documented, or authorized by Dhundo (such as official website, mobile apps, or documented APIs)
• Bypass any robot exclusion headers, rate limits, access controls, or other measures we use to restrict automated access
• Use the Platform's search functionality or data for commercial purposes, competitive intelligence, market research, or to build competing products without authorization

D. Commercial and Competitive Misuse:

• Use the Platform for any commercial purpose, revenue-generating activity, or business use not expressly permitted by these Terms without our prior written consent
• Resell, redistribute, sublicense, rent, lease, loan, or otherwise transfer or provide access to the Platform, your account, or any content to any third party for commercial purposes
• Use the Platform, its data, features, or functionality to develop, create, train, or improve a competing or similar product, service, or offering
• Benchmark, compare, or evaluate the Platform against competing products for purposes of publication or competitive analysis without authorization
• Copy, imitate, replicate, or misappropriate any of our branding, logos, trademarks, trade dress, designs, layouts, or visual identity

• Use the Platform to generate leads, build mailing lists, or collect contact information for commercial solicitation purposes

E. Identity, Account, and System Abuse:

• Impersonate, misrepresent, or falsely claim to be any person, entity, organization, Dhundo employee, or representative
• Falsely state, misrepresent, or conceal your affiliation, relationship, or connection with any person, entity, or organization
• Use another user's account, credentials, or identity without proper authorization
• Create fake, fraudulent, fictitious, or misleading accounts
• Create or maintain multiple accounts for the purpose of abusing promotions, manipulating features, circumventing restrictions, evading bans, or any other unauthorized or fraudulent purpose
• Sell, trade, purchase, transfer, or share your account or credentials with any other person or entity
• Provide false, misleading, inaccurate, or incomplete information to Dhundo, other users, or third parties
• Manipulate, game, exploit, or abuse any feature, system, promotion, reward, or functionality of the Platform
• Interfere with or manipulate search results, rankings, ratings, reviews, or recommendations

6.1 Dhundo's Intellectual Property Ownership

The Platform and its entire contents, features, functionality, technology, and all related intellectual property are owned exclusively by Dhundo, Inc., its parent companies, subsidiaries, affiliates, licensors, or other providers of such material, and are protected by United States and international intellectual property laws. This includes, without limitation:

• Software and Technology: All software, source code, object code, algorithms, data structures, APIs, databases, architectures, and technology powering, comprising, or underlying the Platform
• AI and Machine Learning: The Dhundo Strategist AI system, all machine learning models, training data, neural networks, and their underlying algorithms, methodologies, and outputs
• Content: All textual content, including website copy, documentation, help articles, FAQs, tutorials, and marketing materials
• Visual Elements: All graphics, icons, logos, images, photographs, illustrations, animations, videos, and visual designs
• User Interface: All user interface designs, layouts, screen arrangements, look and feel, and user experience elements
• Audio: All audio content, sound effects, music, and audio recordings
• Data: All data compilations, databases, indices, and organized data collections created or maintained by Dhundo
• Improvements: All improvements, enhancements, modifications, updates, derivative works, and new versions
• Methodologies: All business methods, processes, workflows, and operational procedures

6.2 Trademarks and Brand Assets

The following are trademarks, service marks, trade names, logos, and trade dress of Dhundo, Inc. (collectively, the "Dhundo Marks"), whether or not registered:

• The name "Dhundo" and all variations, abbreviations, and phonetic equivalents
• The Dhundo logo, wordmark, and all associated visual identities and design elements
• "Dhundo Strategist," "Best Value Match," and all other product and feature names
• All taglines, slogans, catchphrases, and marketing phrases associated with Dhundo
• The distinctive color schemes, fonts, and visual styling of the Platform
• The overall design, appearance, and trade dress of the Platform

You may not use any Dhundo Marks without our prior express written permission, except as may be minimally necessary to refer to our services in a factually accurate, non-disparaging manner. Specifically, you may not:

• Use any Dhundo Mark as part of your own product, service, company, or domain name
• Use any Dhundo Mark in a manner that suggests sponsorship, endorsement, or affiliation with Dhundo without authorization
• Use any Dhundo Mark in any manner that is likely to cause confusion among consumers
• Use any Dhundo Mark in any manner that disparages, discredits, or harms the reputation of Dhundo
• Modify, distort, abbreviate, or otherwise alter any Dhundo Mark
• Register or attempt to register any trademark, domain name, or social media handle that incorporates or is confusingly similar to any Dhundo Mark

6.3 Legal Protections

The Platform, Dhundo Marks, and all Dhundo intellectual property are protected by various intellectual property laws and international treaties, including but not limited to:

• United States Copyright Act and international copyright conventions
• United States Trademark Act (Lanham Act) and international trademark laws
• United States patent laws (utility and design patents, pending and registered)
• Trade secret laws under the Defend Trade Secrets Act and state laws
• The Berne Convention, TRIPS Agreement, and other international intellectual property treaties
• Computer fraud and abuse laws
• Other applicable intellectual property and proprietary rights laws

Unauthorized use of any Dhundo intellectual property may violate copyright, trademark, patent, trade secret, and other laws and may subject the infringer to civil and criminal penalties.

6.4 Limited License to Users

Subject to your strict, continued compliance with these Terms in their entirety, Dhundo grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable, and terminable license to:

• Access and use the Platform for your personal, non-commercial purposes through supported browsers and applications
• View, read, and consume content displayed on the Platform for personal reference and information
• Download and print a reasonable number of pages from the Platform solely for your personal, non-commercial, offline use
• Use the Platform's features and functionality as intended, documented, and permitted
• Share links to the Platform through standard social sharing mechanisms

This license is automatically revoked and terminated upon your violation of any provision of these Terms or upon termination of your account for any reason.

6.5 Restrictions on Use of Intellectual Property

Except as expressly and specifically permitted in these Terms, you may not, without our prior express written authorization:

• Copy, reproduce, duplicate, republish, upload, post, publicly display, publicly perform, transmit, broadcast, or distribute any content, materials, or information from the Platform in any form or by any means
• Modify, adapt, alter, translate, transform, or create derivative works of any Platform content, software, or materials
• Remove, alter, obscure, cover, or deface any copyright, trademark, watermark, or other proprietary notices, legends, or attribution from the Platform or any content
• Use any Platform content, data, or materials for commercial purposes, revenue generation, or business activities
• Sell, license, rent, lease, sublicense, assign, or otherwise transfer or commercialize the Platform, your account, or any content
• Use the Platform or any content to develop, create, train, or improve a competing or similar product, service, or AI system
• Incorporate any Platform content, code, or materials into any other product, service, publication, or offering
• Systematically download, cache, archive, or store Platform content
• Use the Platform content to create or populate any database, directory, or index
• Frame, inline link, deep link, or embed any portion of the Platform without authorization

6.6 Third-Party Intellectual Property

The Platform may display, include, incorporate, or make available content, data, information, images, logos, trademarks, or materials from or belonging to third parties, including product information, images, descriptions, reviews, and logos from third-party retailers ("Third-Party Content"). Third-Party Content is the intellectual property of its respective owners and is displayed on the Platform under license, fair use, or other legal basis.

Dhundo does not claim ownership of any Third-Party Content and is not responsible for its accuracy, completeness, quality, legality, or compliance with any laws or third-party rights. Your use of Third-Party Content may be subject to the terms, conditions, and licenses of the applicable third-party owners. All third-party trademarks, service marks, and logos appearing on the Platform are the property of their respective owners.

6.7 Reservation of Rights

All rights not expressly and specifically granted to you in these Terms are hereby reserved by Dhundo and its licensors. No license, right, title, or interest in or to the Platform or any content is granted to you by implication, estoppel, or otherwise, except for the limited, express license rights granted in Section 6.4 above.

6.8 Feedback and Suggestions

If you provide any ideas, suggestions, recommendations, proposals, feature requests, bug reports, enhancement requests, or other feedback regarding the Platform ("Feedback"), you hereby irrevocably grant and assign to Dhundo a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, non-exclusive, sublicensable, and transferable license and right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, commercialize, and otherwise fully exploit such Feedback in any form, medium, or technology now known or later developed, without any obligation to provide attribution, acknowledgment, or compensation to you.

You represent and warrant that you have the right to provide such Feedback and that such Feedback does not infringe any third-party rights. You waive any moral rights or rights of attribution in such Feedback.

7.1 Subscription Plans and Tiers

Dhundo offers multiple subscription tiers designed to provide flexibility based on your needs, usage patterns, and desired feature access:

Features, limitations, and pricing are subject to change at Dhundo's sole discretion. We may also offer promotional plans, trial periods, or special offers from time to time.

7.2 Billing Cycle and Payment Terms

Paid subscriptions are billed on a recurring basis according to the billing cycle you select:

• Monthly Subscriptions: Billed every month on the same calendar day you initially subscribed. If your subscription started on a day that does not exist in a given month (e.g., the 31st), you will be billed on the last day of that month.
• Annual Subscriptions: Billed once per year on the anniversary of your initial subscription date. Annual plans typically offer a discount compared to monthly billing.

Subscription fees are billed in advance at the beginning of each billing period (monthly or annual) and provide access for that entire billing period. All fees are non-refundable except as expressly stated in these Terms, required by applicable law, or otherwise agreed in writing by Dhundo.

7.3 Accepted Payment Methods

We currently accept the following payment methods for subscription fees and other purchases:

• Major credit cards: Visa, MasterCard, American Express, Discover, JCB, Diners Club
• Debit cards with Visa, MasterCard, or American Express logos
• PayPal (where available in your region)
• Apple Pay and Google Pay (through supported platforms)
• Other payment methods as may be made available from time to time

By providing a payment method, you expressly authorize Dhundo (and our third-party payment processors) to charge that payment method for all fees and charges associated with your subscription, including recurring subscription fees, any applicable taxes, and any additional purchases or add-ons. You represent and warrant that you are the authorized holder or have proper authorization to use the payment method you provide.

7.4 Payment Processing and Security

All payments are processed by trusted third-party payment processors (such as Stripe, PayPal, or similar services) that are PCI-DSS compliant. Dhundo does not directly store, process, or have access to your full credit card number, CVV/security code, or complete payment credentials. Our payment processors use industry-standard encryption and security measures to protect your financial information.

By making a purchase, you agree to be bound by the terms and conditions, privacy policies, and security practices of our payment processors. You acknowledge that Dhundo is not responsible for any errors, failures, delays, or security breaches that occur within our payment processors' systems, except to the extent caused by our negligence.

7.5 Currency, Taxes, and Additional Charges

All fees and charges are quoted and payable in United States Dollars (USD) unless otherwise specifically stated. If you are located outside the United States, your payment processor or bank may apply additional fees for currency conversion at their prevailing exchange rates.

You are solely responsible for all applicable taxes arising from your subscription and use of the Platform, including but not limited to sales tax, use tax, value-added tax (VAT), goods and services tax (GST), digital services tax, and any other similar taxes or duties based on your location. If Dhundo is required by law to collect or remit any taxes on your behalf, the applicable tax amount will be added to your invoice and charged to your payment method.

7.6 Price Changes and Modifications

Dhundo reserves the right to modify, increase, or decrease subscription pricing at any time at our sole discretion. For existing paid subscribers:

• We will provide at least thirty (30) days' advance notice before any price increase affecting your subscription takes effect
• Notice will be sent to the email address associated with your account and/or displayed prominently on the Platform
• Price changes will take effect at the start of your next billing cycle following the expiration of the notice period
• If you do not agree to the price change, you have the right to cancel your subscription before the new price takes effect
• Your continued use of paid features after the price change becomes effective constitutes your acceptance of the new pricing

Price changes will not affect the current billing period you have already paid for. Promotional pricing, discounts, and special offers are valid only for the specified promotional period and are subject to change or discontinuation without notice.

7.7 Failed Payments and Account Status

If a scheduled payment fails for any reason (including insufficient funds, expired card, incorrect payment information, or bank rejection):

• We reserve the right to charge applicable late fees, reactivation fees, or reinstatement fees for accounts with payment issues
• Any outstanding balance must be paid before your subscription can be reactivated

7.8 Cancellation Policy and Procedure

You may cancel your paid subscription at any time through one of the following methods:

• Through in-app subscription management (for subscriptions purchased through app stores)

Upon cancellation of a paid subscription:

• Your cancellation will be confirmed via email
• Cancellation will take effect at the end of your current paid billing period
• You will retain full access to all paid features until the end of the period you have already paid for
• No partial, prorated, or unused-time refunds will be provided for any remaining time in your billing period
• Upon expiration of your paid period, your account will automatically revert to the Free Plan
• Your account data, search history, and preferences will be retained according to our data retention policies
• You may resubscribe at any time, though promotional or discounted pricing may not be available

7.9 Refund Policy

Our refund policy complies with Paddle's checkout requirements and international standards:

• 14-Day Money-Back Guarantee: You are entitled to a full refund of your subscription fee if you request it within fourteen (14) days of your initial purchase.
• No Questions Asked: This refund right is unconditional and applies to all new subscription plans.

• A valid payment method may be required to start a free trial to prevent abuse
• You will not be charged during the free trial period
• At the end of the trial period, your subscription will automatically convert to a paid subscription at the then-current price unless you cancel before the trial ends
• We will send a reminder email before your trial converts to a paid subscription
• Free trial eligibility is determined by Dhundo at our sole discretion and may be limited to one trial per user, email address, household, device, or payment method
• Dhundo reserves the right to modify, suspend, or terminate free trial offers at any time

THIS EXCLUSION OF LIABILITY APPLIES TO, WITHOUT LIMITATION, ALL OF THE FOLLOWING TYPES OF LOSSES AND DAMAGES:

• LOSS OF PROFITS, REVENUE, INCOME, OR EARNINGS
• LOSS OF BUSINESS, BUSINESS OPPORTUNITIES, OR BUSINESS ADVANTAGE
• LOSS OF DATA, INFORMATION, OR DATA CORRUPTION
• LOSS OF GOODWILL, REPUTATION, OR BRAND VALUE
• LOSS OF ANTICIPATED SAVINGS OR BENEFITS
• LOSS OF USE OR FUNCTIONALITY
• COST OF SUBSTITUTE GOODS, SERVICES, OR TECHNOLOGY
• COST OF PROCUREMENT OF SUBSTITUTE SERVICES
• COSTS OF COVER
• PERSONAL INJURY OR PROPERTY DAMAGE
• EMOTIONAL DISTRESS, MENTAL ANGUISH, OR PSYCHOLOGICAL HARM
• ANY OTHER INTANGIBLE, INDIRECT, OR CONSEQUENTIAL LOSSES

9.3 Covered Activities and Circumstances

THESE LIMITATIONS AND EXCLUSIONS OF LIABILITY APPLY TO ANY AND ALL DAMAGES OR LOSSES ARISING FROM OR RELATED TO:

• YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE PLATFORM OR ANY PORTION THEREOF
• ANY CONDUCT, CONTENT, ACTIONS, OR OMISSIONS OF ANY THIRD PARTY ON OR IN CONNECTION WITH THE PLATFORM
• ANY CONTENT, DATA, INFORMATION, OR MATERIALS OBTAINED FROM OR THROUGH THE PLATFORM
• ANY PRODUCTS OR SERVICES PURCHASED, OBTAINED, OR CONSIDERED FROM THIRD-PARTY RETAILERS THROUGH THE PLATFORM
• UNAUTHORIZED ACCESS, USE, ALTERATION, DISCLOSURE, OR DESTRUCTION OF YOUR CONTENT, TRANSMISSIONS, OR DATA
• ANY ERRORS, MISTAKES, INACCURACIES, OR OMISSIONS IN ANY CONTENT, INFORMATION, OR DATA
• PERSONAL INJURY, PROPERTY DAMAGE, OR OTHER HARM RESULTING FROM YOUR USE OF THE PLATFORM
• ANY BUGS, VIRUSES, TROJAN HORSES, MALWARE, OR OTHER HARMFUL CODE THAT MAY BE TRANSMITTED TO OR THROUGH THE PLATFORM
• ANY INTERRUPTION, SUSPENSION, DISCONTINUATION, OR CESSATION OF THE PLATFORM OR ANY SERVICES
• RECOMMENDATIONS, STRATEGIES, OR ADVICE PROVIDED BY THE DHUNDO STRATEGIST OR OTHER AI FEATURES
• RELIANCE ON ANY INFORMATION, DATA, OR CONTENT PROVIDED THROUGH THE PLATFORM
• TERMINATION OR SUSPENSION OF YOUR ACCOUNT OR ACCESS TO THE PLATFORM
• ANY DEALINGS WITH OR CONDUCT OF OTHER USERS OR THIRD PARTIES

9.4 Aggregate Liability Cap

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED IN THESE TERMS, AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE DHUNDO PARTIES TO YOU FOR ANY AND ALL CLAIMS, CAUSES OF ACTION, DAMAGES, LOSSES, LIABILITIES, COSTS, AND EXPENSES ARISING FROM OR RELATED TO THE PLATFORM, THESE TERMS, OR YOUR USE OF THE PLATFORM, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, BREACH OF WARRANTY, OR ANY OTHER LEGAL OR EQUITABLE THEORY, SHALL NOT EXCEED THE GREATER OF:

• (A) THE TOTAL AMOUNT YOU HAVE ACTUALLY PAID TO DHUNDO IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE EVENT GIVING RISE TO THE CLAIM; OR
• (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD)

THIS LIMITATION APPLIES CUMULATIVELY TO ALL CLAIMS YOU MAY HAVE, AND INDIVIDUAL SETTLEMENTS OR JUDGMENTS WILL REDUCE THE MAXIMUM AGGREGATE LIABILITY AVAILABLE FOR SUBSEQUENT CLAIMS.

9.5 Essential Basis of Bargain

YOU EXPRESSLY ACKNOWLEDGE, UNDERSTAND, AND AGREE THAT THE LIMITATIONS OF LIABILITY, EXCLUSIONS OF DAMAGES, AND DISCLAIMERS SET FORTH IN THESE TERMS:

• Reflect a reasonable, fair, and appropriate allocation of risk between you and Dhundo
• Form an essential, material, and fundamental part of the basis of the bargain between you and Dhundo
• Enable Dhundo to provide the Platform at the current pricing and on the current terms
• Would result in significantly higher pricing or inability to offer the Platform without these limitations
• Shall apply even if any limited or exclusive remedy fails of its essential purpose
• Shall survive and apply regardless of the success or failure of any other provisions of these Terms

9.6 Application Regardless of Legal Theory or Circumstances

THE FOREGOING LIMITATIONS, EXCLUSIONS, AND DISCLAIMERS SHALL APPLY:

• REGARDLESS OF THE LEGAL THEORY OR CAUSE OF ACTION UPON WHICH THE CLAIM IS BASED
• REGARDLESS OF WHETHER DHUNDO HAS BEEN INFORMED, ADVISED, OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES
• REGARDLESS OF WHETHER THE DAMAGES WERE FORESEEABLE OR COULD HAVE BEEN FORESEEN
• REGARDLESS OF WHETHER ANY LIMITED OR EXCLUSIVE REMEDY PROVIDED HEREIN FAILS OF ITS ESSENTIAL PURPOSE
• REGARDLESS OF ANY NEGLIGENCE OR OTHER FAULT OR WRONGDOING ON THE PART OF DHUNDO
• REGARDLESS OF ANY BREACH OF CONTRACT, WARRANTY, OR OTHER OBLIGATION BY DHUNDO

Some jurisdictions do not allow the exclusion or limitation of incidental, consequential, or punitive damages, or may impose minimum liability thresholds. In such jurisdictions where such limitations are prohibited or restricted, our liability will be limited to the maximum extent permitted by applicable law. Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our proven gross negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be lawfully limited or excluded.
